The profit participation certificate is purely profit-related. The realisation of the claims for repayment of the nominal amount and the remuneration depend exclusively on the economic success of Electric Mobility Concepts GmbH (“emmy”). There is a risk of total loss. All claims for repayment and remuneration are also subject to a qualified subordination. Claims arising from the profit participation certificate can therefore not be asserted as long as and to the extent that this would lead to the insolvency of the issuer. In the event of insolvency, the claims of the participation certificate creditors are subordinate to other creditors of the issuer. From an economic perspective, the profit participation certificate has the character of an entrepreneurial investment.

The issuer bases this on the forecast that the participation certificate capital will be repaid to the investors at the nominal amount on a performance-related basis and that, in addition, a one-off performance-related remuneration of 35 %, based on the nominal amount, will be achieved over the entire term, which corresponds to a forecast yield of approx. 7 % p.a. The profit participation certificate is currently only publicly offered in the Federal Republic of Germany. There is no offer in legal areas / legal systems in which such an offer would be illegal. The profit participation certificate is not and will not be registered in the United States in accordance with the United States Securities Act of 1933, as amended. All information and documents (including the securities information sheet) may therefore not be transferred to these countries. The exclusion of the offer applies to all citizens of the United States, holders of a permanent residence and work permit for the United States (green card) and citizens with unlimited income tax liability in the United States for any other reason. The same applies to natural persons and legal entities with a statutory seat, actual administrative seat, residence or secondary residence in the United States.
